Minmetals sets its sights on Equinox
Minmetals Resources (MMR) said it intends to make an all cash offer to buy Equinox Minerals. MMR said its offer was subject to Equinox terminating a proposed acquisition of Lundin Mining at its shareholders meeting on April 11.
Equinox's Lumwana mine in the Zambian copper belt has measured and indicated resources of 342.5 million tonnes of ore grading 0.74% Cu, plus inferred resources of 563.1 million tonnes at 0.63% Cu.
MMR is offering C$7.00 per share, a premium of 23% on Equinox’s closing price on the TSX on April 1. MMR chief executive Andrew Michelmore said “our Offer for Equinox aligns with MMR’s strategy for growth, enhancing our global production portfolio. For Equinox Shareholders, the offer is compelling in that it not only provides a substantial premium and certainty of value, but it also provides a superior alternative to the proposed acquisition by Equinox of Lundin.” Speaking at a press conference, Michelmore identified the reasons MMR was targeting Equinox. He said that MMR was seeking to build an upstream base metals company, and that Equinox – as a globally significant copper producer - would significantly expands MMR’s portfolio. Michelmore said MMR would bring a wealth of management experience and capabilities to add value to Equinox’s assets and give the company access to long term finance.
